1. Acceptance of Terms

By accessing or using GroupHealthMatch (the "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms apply to all visitors, brokers, agencies, employers, and other users of GroupHealthMatch.

2. Description of Service

GroupHealthMatch is an online directory and lead-generation marketplace that connects employers seeking group health insurance with licensed insurance brokers and benefit consultants ("Brokers"). GroupHealthMatch does not sell, underwrite, or issue insurance products of any kind. We are not an insurance company, insurance agency, or licensed insurance broker. We do not provide insurance advice, recommend specific insurance products, or guarantee the quality, suitability, or availability of any broker listed on the Platform.

3. No Insurance Advice

GroupHealthMatch is a referral and directory platform only. Nothing on this Platform constitutes insurance advice, legal advice, financial advice, or a solicitation to purchase any insurance product.

Insurance products and availability vary by state and are subject to state insurance laws and regulations. You should consult a licensed insurance professional in your state before making any insurance purchasing decisions. Coverage terms, pricing, and carrier availability are determined solely by the broker and carrier you engage — not by GroupHealthMatch.

4. Broker Profiles and Listings

Broker profiles on GroupHealthMatch may be auto-generated from publicly available regulatory data (including the National Insurance Producer Registry, NIPR) or submitted directly by brokers. GroupHealthMatch does not verify, endorse, or guarantee the accuracy, completeness, or currency of any broker profile, license status, credentials, specialties, carrier relationships, or other information displayed on the Platform.

License status information is provided for informational purposes only. You are responsible for independently verifying that any broker you engage holds a current, valid license in your state for the lines of insurance you require. You can verify broker licenses through your state's Department of Insurance or at nipr.com.

The presence of a broker profile on GroupHealthMatch does not constitute an endorsement, recommendation, or certification by GroupHealthMatch. Unclaimed profiles are generated automatically and may not reflect the broker's current business status or offerings.

5. Broker Accounts and Claimed Profiles

Brokers may claim and manage their profiles on the Platform by completing the verification process, which includes providing a valid National Producer Number (NPN). By claiming a profile, you represent and warrant that:

  • You are the licensed insurance producer identified in the profile, or you are an authorized representative of that producer or agency;
  • All information you provide or update in your profile is accurate, complete, and not misleading;
  • You hold all licenses, appointments, and authorizations required by applicable state law to provide the services you represent;
  • You will promptly update your profile to reflect any changes in your license status, credentials, or contact information;
  • You will comply with all applicable federal and state insurance laws, regulations, and ethical standards in your interactions with employers and clients.

GroupHealthMatch reserves the right to suspend or remove any profile that contains inaccurate, misleading, or fraudulent information, or that violates these Terms.

6. Subscription Plans and Fees

Brokers may subscribe to paid tiers ("Subscriptions") to access premium features including profile editing, lead delivery, and enhanced visibility. Subscription fees are billed on a recurring monthly basis. By subscribing, you authorize GroupHealthMatch to charge your payment method on a recurring basis until you cancel.

  • Cancellation: You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.
  • Price Changes: GroupHealthMatch reserves the right to modify Subscription fees upon 30 days' notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.
  • Lead Credits: Lead credits, if applicable, are non-transferable, have no cash value, and expire at the end of each billing period unless otherwise stated.
  • Refunds: All fees are non-refundable except as required by applicable law or as expressly stated in writing by GroupHealthMatch.

7. Lead Generation and Employer Inquiries

When an employer submits an inquiry or contact request through the Platform, that inquiry may be routed to one or more brokers based on location, specialty, and other factors. GroupHealthMatch does not guarantee the quality, exclusivity, or convertibility of any lead. Leads are provided "as-is." GroupHealthMatch is not responsible for the outcome of any employer-broker engagement that originates on the Platform.

Employers acknowledge that by submitting an inquiry, their contact information may be shared with one or more licensed brokers on the Platform for the purpose of responding to their inquiry.

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
  • Misrepresent your identity, credentials, or license status;
  • Submit false, inaccurate, or misleading information;
  • Scrape, harvest, or otherwise collect data from the Platform without written authorization;
  • Use the Platform to spam, solicit, or harass other users;
  • Attempt to gain unauthorized access to any part of the Platform or its infrastructure;
  • Interfere with the operation of the Platform or disrupt other users' access.

9. Intellectual Property

All content on the Platform — including text, design, graphics, logos, and software — is the property of GroupHealthMatch or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Platform content without prior written consent.

By submitting content to the Platform (including profile information, reviews, or testimonials), you grant GroupHealthMatch a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with the Platform.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GROUPHEALTHMATCH DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROUPHEALTHMATCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GroupHealthMatch's total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the amount you paid to GroupHealthMatch in the 12 months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless GroupHealthMatch and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit to the Platform.

13. State Insurance Regulatory Compliance

Insurance is regulated at the state level in the United States. Brokers listed on GroupHealthMatch are responsible for maintaining all required licenses, appointments, and continuing education credits in each state where they conduct business. GroupHealthMatch does not represent that any broker listed on the Platform is authorized to conduct business in any particular state. Employers should verify broker licensing independently before engaging any broker for insurance services.

14. HIPAA Notice

GroupHealthMatch is not a Covered Entity or Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). Do not submit protected health information (PHI) through the Platform. If you are a broker handling employer or employee health information in connection with group health plans, you are solely responsible for your own HIPAA compliance obligations.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

16. Changes to These Terms

GroupHealthMatch reserves the right to update these Terms at any time. We will notify registered users of material changes by email or by posting a notice on the Platform. Your continued use of the Platform after any change constitutes acceptance of the updated Terms.
